Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you (“you,” “customer”) and Urban Overstock LLC (“Urban Overstock,” “we,” “us,” “our”), a Delaware limited liability company, governing your use of www.urbanoverstock.com, the Urban Overstock mobile application, and any purchases you make through us (collectively, the “Services”). By accessing the Services or placing an order, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Description of Service

Urban Overstock is a United States-based direct-to-consumer e-commerce brand selling sustainable streetwear and lifestyle goods. Orders are fulfilled through our third-party print-on-demand and shipping partners (currently including Printify). Urban Overstock is not a peer-to-peer marketplace; all merchandise is sold by Urban Overstock LLC to customers.

2. Eligibility

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction (whichever is higher), to make purchases. You must provide accurate, current, and complete billing and shipping information. You may not use the Services for any unlawful or fraudulent purpose.

3. User Accounts

Most of the Services can be used without an account. If and when customer accounts are available, you are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us immediately at support@urbanoverstock.com if you suspect unauthorized use of your account.

4. Orders, Pricing, and Payment

• All prices are listed in United States dollars (USD) and are subject to change without notice. The price of an item is the price displayed at the time you place your order.
• All payments are processed by Stripe. By providing payment information, you authorize Urban Overstock and Stripe to charge the payment method for the total amount of your order, including shipping and applicable taxes.
• Your order is accepted when Stripe confirms a successful charge and we send an order confirmation. Until then, no contract for sale exists between you and Urban Overstock.
• We reserve the right to refuse, cancel, or limit any order for any reason, including suspected fraud, pricing errors, inventory issues, restricted shipping addresses, or non-compliance with these Terms. If we cancel an accepted order, we will refund the charge in full.
• Shipping is currently restricted to addresses within the United States. Expansion to additional countries will be reflected in future updates to these Terms.

5. Shipping

We offer flat-rate shipping of $6.99 on orders under $75 and free standard shipping on orders of $75 or more, before tax. Standard delivery estimates are three (3) to seven (7) business days from the date of order confirmation. These are estimates; once a package is in the carrier’s possession, delivery timing is the carrier’s responsibility. Title and risk of loss pass to you upon delivery to the address you provided.

6. Returns and Refunds

Final-sale items

All print-on-demand and custom-made items are final sale. These items are manufactured specifically for your order and cannot be returned, exchanged, or refunded unless they arrive damaged, defective, or materially different from what was ordered (see “Damaged or defective items” below).

Standard catalog returns

Standard (non-print-on-demand) catalog items may be returned within fourteen (14) days of delivery if they are:

• Unworn and unwashed
• In original condition with all tags attached
• In their original packaging

To start a return, email support@urbanoverstock.com with your order number and the items you’d like to return. We will respond with return instructions. The customer is responsible for return shipping costs. Once we receive and inspect the returned items, we will issue a refund to your original payment method within five (5) to seven (7) business days. Original shipping charges are non-refundable.

Damaged or defective items

If your order arrives damaged, defective, or different from what you ordered, contact us within seven (7) days of delivery at support@urbanoverstock.com. Please include photos showing the issue. We will arrange a replacement at no cost to you, including return shipping if a return is required.

7. Intellectual Property

The Urban Overstock name, logo, designs, text, graphics, photographs, illustrations, software, and the compilation of all content on the Services are owned by or licensed to Urban Overstock LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.

Product designs by third-party brands (listed at /brands) remain the intellectual property of those respective brands and are licensed to Urban Overstock for sale through the Services. You may not copy, reproduce, redistribute, modify, or use any content from the Services for commercial purposes without our prior written permission.

8. Prohibited Uses

You agree not to:

• Use the Services in a way that violates any applicable law or regulation.
• Scrape, harvest, or programmatically extract data from the Services without written permission.
• Use automated tools (bots, crawlers, scripts) to access or interact with the Services in a way that imposes an unreasonable load on our infrastructure.
• Attempt to gain unauthorized access to other customers’ accounts, our systems, or the systems of our service providers.
• Submit fraudulent payment information, chargebacks, or returns.
• Harass, abuse, or threaten our employees, contractors, or other customers.
• Misrepresent your identity, location, or affiliation with any person or entity.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Urban Overstock disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected. Product descriptions, photographs, and color representations are approximations; actual products may vary slightly due to manufacturing tolerances and display calibration.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Urban Overstock’s total liability to you for any claim arising out of or relating to the Services or any order is limited to the total amount you paid to Urban Overstock for the order giving rise to the claim.

Urban Overstock will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost data, or business interruption, even if Urban Overstock has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, Urban Overstock’s liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Urban Overstock LLC and its officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual property or privacy right.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles. Urban Overstock LLC is a Delaware limited liability company.

13. Dispute Resolution and Arbitration

Informal resolution first

Before filing a formal dispute, you agree to first contact us at support@urbanoverstock.com and describe the issue in good faith. We will attempt to resolve the dispute informally within thirty (30) days.

Binding arbitration

If informal resolution fails, any remaining dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration administered by JAMS or, at your election, the American Arbitration Association (AAA), under the rules of the chosen administrator. The arbitration will be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver

You and Urban Overstock agree to bring claims against each other only in individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. Neither you nor Urban Overstock may bring or participate in a class action, class arbitration, or any other class or representative action against the other.

Exceptions

Either party may bring a claim in small claims court if the claim qualifies, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

14. General Provisions

• Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Urban Overstock regarding the Services and supersede any prior agreements.
• Severability: if any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• No waiver: our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• No agency: nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Urban Overstock.

15. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above will reflect any changes. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms. If a change materially reduces your rights, we will provide notice (by email if we have your email on file, or by a prominent notice on the Services) before the change takes effect.
